Terms of Service
These Terms of Service ("Terms") govern your use of the Sapphires platform (the "Service") operated by Okeke LLC, a Texas limited liability company, doing business as Sapphires ("we," "us," "our"). By accessing or using the Service you agree to be bound by these Terms.
1. The Service
Sapphires is a B2B platform that helps businesses operate — managing contacts, contracts, inventory, billing, sales, and related workflows. The exact set of capabilities available to your business is determined by the modules you have enabled and any agreements between you and us.
2. Accounts
- You must be at least 18 years old to create an account.
- You are responsible for all activity that occurs under your account, including activity by users you invite.
- You will keep your login credentials confidential and notify us promptly of any unauthorized access at support@okeke.us.
- Account creation is currently invitation-only. We do not accept public sign-ups.
3. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or attempt to derive source code of the Service.
- Use the Service to send spam, unsolicited marketing, or unlawful communications.
- Upload material that infringes intellectual property, violates privacy, or contains malicious code.
- Attempt to gain unauthorized access to other businesses' data on the platform.
- Use the Service for activities prohibited by US law or by the laws of your jurisdiction.
4. SMS Messaging Terms
By providing your mobile number and tapping the consent button during account setup or security configuration, you agree to receive SMS messages from Sapphires for the following limited purposes:
- Two-factor authentication codes
- Password-reset verification codes
- Security alerts for sensitive account actions
We do not send marketing SMS. Message frequency is typically 1–4 messages per user per year. Message and data rates may apply per your carrier's plan.
Opt-out: reply STOP to any message at any time to
immediately end SMS delivery to that number. You may also remove your phone
number under Settings → Security. To get help, reply HELP or
contact support@okeke.us.
5. Billing and Subscriptions
Fees, billing cycles, and module pricing are set out in your written engagement with us. Invoices are issued monthly through Okeke LLC. Payment is due net 15 unless otherwise agreed. We may suspend access for accounts more than 30 days past due, with prior written notice.
6. Your Data
You retain all rights to the data your business uploads or generates inside the Service. We act as a custodian: we store, process, and back up your data on your behalf, and we do not use it to train AI models or sell it to third parties. On account closure we will provide a one-time export of your data and delete it within 30 days, subject to legal retention obligations.
7. Our Intellectual Property
The Sapphires platform, including its name, software, design, and documentation, is owned by Okeke LLC and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to use the Sapphires name or logo outside the Service without our written consent.
8. AI-Generated Content
The Service includes AI-assisted features that may draft documents, extract data from PDFs, or summarize records. AI output is provided for review and is not professional legal, financial, or medical advice. You remain responsible for verifying and approving any AI-generated content before relying on it.
9. Service Availability
We aim for high availability but do not guarantee uninterrupted service. We may temporarily suspend access for maintenance, security patches, or infrastructure changes with reasonable notice when practicable.
10. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. Okeke LLC disclaims all warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, Okeke LLC's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim. We will not be liable for indirect, incidental, consequential, punitive, or special damages, or for loss of profits, revenue, data, or business opportunities.
12. Indemnification
You will indemnify and hold harmless Okeke LLC and its officers, employees, and contractors from any third-party claim arising out of your use of the Service, your data, or your violation of these Terms.
13. Termination
Either party may terminate your access to the Service at any time, for any reason, with reasonable notice. We may suspend access immediately if your use of the Service threatens the security or integrity of the platform. Sections 6, 7, 10, 11, 12, and 14 survive termination.
14. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes will be brought exclusively in the state or federal courts located in Travis County, Texas.
15. Changes to These Terms
We may revise these Terms from time to time. Material changes will be announced inside the app at least 30 days before they take effect for existing accounts. Continued use of the Service after the effective date constitutes acceptance.
